RMTC Bylaws
Club Name
The official name shall be Rocky Mountain Triathlon Club.
Club Purpose
Section 1: Rocky Mountain Triathlon Club is an organized club dedicated to the educational pursuit of triathlon, general physical fitness, and the representation of the sport of triathlon within the community.
Section 2: The purposes of Rocky Mountain Triathlon Club also include all other lawful purposes associated with or related to that general purpose, to the extent such activity is limited so that the club qualifies as a non-profit organization exempt from taxation under Section 501(c)(7) of the Internal Revenue Code.
Club Membership
Section 1: Membership shall be open to any individual who shares in the common purpose of Rocky Mountain Triathlon Club. Membership shall be granted without discrimination upon basis of race, creed, color, religion, age, sex, national origin, sexual preference or physical or mental handicap.
Section 2: Members must display ethical conduct and sportsmanship at all times. All members are required to sign a club waiver. Membership is valid upon receipt of a club member number for the membership term designated below. A member may be expelled from Rocky Mountain Triathlon Club for failing to meet any applicable rule or the club code of conduct by a majority vote of the Executive Committee. Such decision shall be final and not subject to review.
Section 3: Each member shall be required to pay annual dues which will expire 365 days following payment. Dues are non-refundable. Dues are subject to change upon recommendation of the Treasurer and voted on by the Executive Committee.
Section 4: Rocky Mountain Triathlon Club events, meetings and activities may be limited to club members and guests.
Club Officers/Executive Committee
Section 1: The affairs of Rocky Mountain Triathlon Club shall be governed by the Executive Committee composed of a minimum of five (5) and a maximum of eleven (11) members.
Section 2: Officers are as follows:
President - Official contact person for and representative of the club; presides over meetings; can appoint to fill Executive Committee vacancies; issues call for special meetings when necessary; and has such other powers and duties as may be prescribed by the Executive Committee.
Vice President - Acts as president in the absence of the president; assume/support the duties of one of the other officers as needed; assists with club correspondence, records, and filings; takes meeting minutes.
Treasurer - Collects club members' dues; pays club debts; approves club expenditures; responsible for club bank account; maintains accounting records; prepares annual budget; prepares tax filings; provides financial report to the Executive Committee upon request.
Coach - Responsible for club training plan and oversees club workouts; selected by Executive Committee and not voted on by the membership and not subject to term limitations.
Remaining Officers- Participate in Executive Committee meetings and vote on club policies. Titles and duties to be determined by the Executive Committee. The Executive Committee may appoint one officer during a calendar year if necessary.
Section 3: Terms of office are on a calendar year basis, from January 1 through December 31st, and will run for one year, except for the office of Treasurer, which will have a two year term. No officer except for Coach shall serve on the Executive Committee for more than 3 consecutive terms.
Section 4: In addition to the Club Officers outlined above, the Rocky Mountain Triathlon Club may also form ad hoc committees to assist in club management and/or event execution.
Section 5: The Executive Committee has the power to use club funds in a discretionary manner. All club expenditures are subject to the approval of the Treasurer.
Section 6: The Executive Committee is authorized to contract with an approved licensed insurance authority for club liability or officer and director insurance.
Executive Committee
Section 1: Unless otherwise provided in the bylaws, specific times and dates will not be designated for Executive Committee meetings; however, meetings shall be held not less than one time per quarter. There must be a majority of Executive Committee members present to have a quorum. Club members, who petition the Executive Committee in writing, may call special meetings.
Section 2: Executive Committee meetings are open to the membership, unless an Executive Session is called and only Executive Committee members are allowed to take part.
Club Meetings
Unless otherwise provided in the bylaws, general membership meetings shall be held on designated dates decided upon by the Executive Committee. At least 8 general membership meetings will be held during a calendar year. Dates, times and location of the meetings will be posted on the club website.
ARTICLE VII
Club Elections
Section 1: The President shall establish a Nominating Committee at the earlier of the September general membership meeting or September 15th. The Nominating Committee shall consist of one Executive Committee member and one current club member at-large. The Nominating Committee shall ask for nominations from the floor of the September general membership meeting and through the club website and forum, and shall prepare a final slate of officer candidates for presentation to the general membership on or before October 31st. Presentation shall occur via the club website and through a club forum announcement.
Section 2: Voting shall be by ballot for the open Executive Committee positions at the November general membership meeting, or by means of an electronic voting system that shall open no later than the first Monday of November and close by 11:59pm local time on the 2d Monday of November.
(a) The ballot will be prepared by the Nominating Committee.
(b) Results of the elections will be counted and documented by the Nominating Committee.
(1) In the event of a tie, the top two candidates will have a re-vote by ballot.
(2) In the event of a second tie, the membership can choose by a show of hands to:
(i) Continue voting by ballot until the tie is broken.
(ii) Or choose to have the President break the tie.
(c) The results will be announced before the November general meeting is adjourned and posted on the Rocky Mountain Triathlon Club website. If the Executive Committee determines that a November general membership meeting is unnecessary, the results will be posted on the club website and announced through the club forum by 11:59pm local time on the 2d Tuesday of November.
Section 3: To be considered as a candidate for president, the individual must have been an active club member for the previous year and have actively served either on a club committee or on the Executive Committee. Candidates for any Executive Committee position, other than president, must have been active members of the club for at least the previous year and should be able to attend a majority of Executive Committee meetings and club events.
Section 4: Vacancies of the Executive Committee caused by any reason other than the removal of an officer by a vote of the membership shall be filled by vote of the remaining officers, even though they may constitute less than a quorum; or by the members at a special meeting to be called by the Executive Committee. Each person so elected shall serve out the unexpired portion of the term.
Section 5: At an annual or special meeting duly called, any officer may be removed with or without cause by the affirmative vote of the majority of members present, and a successor may then be elected to fill the vacancy thus created. In addition, an officer may be removed for cause by unanimous vote of the remaining officers.
Amendments to the Constitution
The bylaws may be amended by the affirmative vote of members representing at least fifty percent of the members present at a duly noticed meeting, or by unanimous vote of the Executive Committee.
Miscellaneous
This Constitution shall comply with applicable state and federal regulations.
